Terms of Service

1. Who you are contracting with

Spanli is a product of Sprybyte LLC, a limited liability company formed in Delaware, United States, with its registered address at 651 North Broad Street, Suite 201, Middletown, DE 19709, United States. In these terms, “we”, “us” and “our” mean Sprybyte LLC, and “you” means the person or organisation using the service.

These terms incorporate our Acceptable Use Policy, our Privacy Policy, our Cookie Policy and, if you register a domain through us, our Domain Registration Terms. Where the Domain Registration Terms conflict with these terms on a domain-specific point, the Domain Registration Terms apply.

2. What Spanli does

Spanli builds websites from a conversation. You describe the site you want, an AI assistant writes and edits it for you, and you can preview it, keep editing it, and publish it to the internet. Published sites are static websites served from our content delivery network. You can use a free Spanli subdomain, connect a domain you already own, or register a new domain through us.

Spanli is built for informational websites: business and portfolio sites, landing pages, blogs and similar. It is not a platform for building applications, and we do not provide a server-side runtime, database or user-authentication system for the sites you publish.

We may add, change or remove features. If a change materially reduces a feature you rely on, we will give you reasonable notice by email or in the product before it takes effect. Features labelled beta or experimental are provided without any commitment and may change or be withdrawn at any time.

3. Your account

You must be at least 16 years old to create an account. If you create an account for an organisation, you confirm that you are authorised to accept these terms on its behalf.

You are responsible for the accuracy of the information on your account, for keeping your password confidential, and for everything done through your account. Tell us at support@spanli.com if you believe someone else has gained access to it.

You can invite other people to a project and give each of them a role: an editor can change the site, and a financial contact can manage billing for that project. The project owner remains responsible for what everyone with access does. Ownership of a project can be transferred to another account holder.

4. Plans, billing and credits

Plans

Spanli offers a free Hobby plan and the paid Pro and Business plans. Each account may keep one free Hobby site. Paid plans are per project. Current prices and what each plan includes are shown on our pricing page.

Subscriptions and renewals

Paid plans are subscriptions taken out through Stripe’s hosted checkout. You can pay monthly, or annually at a discount: an annual subscription is billed once for the year and costs less than paying the monthly price twelve times. The price of each, and the size of the annual saving, are shown on the pricing page and again at checkout before you pay. Subscriptions renew automatically, at the same plan and interval, until you cancel them.

If you change plan or switch between monthly and annual billing partway through a billing period, Stripe prorates the change: you are credited for the unused part of what you already paid and charged the difference for the new plan. We do not open a second subscription for the same project.

Credits

Building and editing a site with the AI assistant consumes credits. Credits are the unit we bill AI usage in. Longer or more complex requests consume more credits than short ones, and some actions the assistant performs while working, such as taking a screenshot of your page to check its own work, carry a small additional charge. The credits remaining on a project are shown in the product as you work, and each turn is recorded on the project’s billing page.

Paid plans include a credit allowance. You can buy additional credits at any time. You can also turn on automatic top-ups, which saves a card and buys more credits when your balance falls below a threshold you choose. Automatic top-ups are subject to a monthly limit you set, and you can turn the feature off at any time from the billing page.

Prices and taxes

Prices are in United States dollars. Unless stated otherwise, they do not include sales tax, VAT or any other tax or duty that applies to your purchase, and you are responsible for those amounts. We may change our prices; a price change affects your subscription from the start of your next billing period, and we will tell you before it takes effect.

Cancellation and refunds

You may cancel a subscription at any time from the project’s billing settings. Cancellation takes effect at the end of the billing period you have already paid for. Your project keeps its paid features until then and moves to the free plan afterwards.

• Subscription fees are not refunded for the unused part of a billing period once that period has started, except where the law where you live requires a refund.
• Credits are not refundable and have no cash value. Once purchased, they can only be used for AI usage on Spanli.
• Completed domain registrations and renewals are not refundable, because the registry fee is incurred as soon as the registration is made. See our Domain Registration Terms.
• If we charge you for a domain registration or renewal that we then cannot complete, we refund that charge.
• If you were charged in error, or the service failed in a way that makes a refund the right outcome, write to support@spanli.com and we will look at it.

Nothing in this section limits any statutory right of withdrawal or cancellation you have as a consumer under the law where you live.

Failed payments

If a payment fails, we may retry it and we may suspend the paid features of the affected project until it succeeds. We will tell you by email before suspending anything.

5. Your content

You own what you put into Spanli and what Spanli produces for you: your text, images, files, the code of your website, and the site you publish. We claim no ownership of it.

To run the service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, back up and process your content, and to pass it to the service providers listed in our Privacy Policy, for the sole purpose of providing Spanli to you. This licence lasts only as long as we hold the content and ends when you delete it.

We do not sell your content, and we do not use it to train AI models. Your instructions and the contents of your project are sent to the AI providers named in our Privacy Policy so that they can generate a response, and those providers handle it under their own terms.

You are responsible for having the rights to everything you upload or publish, and for making sure your site complies with the law that applies to it, including any privacy notice or cookie disclosure your own visitors are entitled to. Do not put special category data, payment card numbers, health records or government identifiers into a Spanli project: the service is not designed to hold them.

6. AI generated output

We make no warranty that AI output is accurate, complete, original, or fit for any particular purpose, and none that it is free of third-party rights. Because AI models produce similar answers to similar requests, output provided to you may resemble output provided to someone else, and we cannot promise it is unique.

Do not rely on AI output for medical, legal, financial, safety or other professional advice, and do not publish it as such without a qualified human review.

7. Acceptable use

Our Acceptable Use Policy sets out what you may not build, publish or do with Spanli. It forms part of these terms. In short: nothing illegal, nothing that deceives or endangers people, nothing that infringes someone else’s rights, and nothing that attacks or abuses the service itself.

If you believe a site built with Spanli breaks these rules, report it through our abuse reporting page.

8. Suspension and termination

You can delete a project, or close your account, at any time. We may suspend or terminate your access to a project or your whole account if you materially breach these terms or the Acceptable Use Policy, if your payment is overdue, if we are required to by law, or if your use threatens the security or stability of the service or another customer.

Except where the breach is serious enough or urgent enough that we cannot, we will tell you what the problem is and give you a chance to fix it before suspending anything.

When a project is deleted, we remove its published website from our hosting, detach any domains still pointing at it, and delete its workspace, its stored snapshots, its content and its chat history. This is not reversible, so export or copy anything you want to keep first. Deleting a project also cancels any paid subscription for that project.

A project that holds a domain you registered through us cannot be deleted while that domain is still attached to it, because deleting it would take a name you paid for with it. Move the domain to one of your other projects first — Settings, then Domains, then Move to another project on that domain — or contact support@spanli.com if you want to release it from Spanli instead. Deleting a project never cancels a domain registration you have paid for.

Sections covering your content, AI output, disclaimers, liability, indemnity and governing law survive the end of this agreement.

9. Availability

We work to keep Spanli available and your published sites online, but we do not commit to a particular level of uptime and we do not offer a service level agreement. Spanli depends on third-party infrastructure and AI providers, and an outage or a change at one of them can affect the service. We may take the service down for maintenance.

10. Disclaimers

Spanli is provided on an “as is” and “as available” basis. To the fullest extent the law allows, we disclaim all warranties, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment and non-infringement. We do not warrant that the service will be uninterrupted, secure or error-free, or that any content or output will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, this section applies to the extent permitted, and your statutory rights as a consumer are unaffected.

11. Limitation of liability

To the fullest extent the law allows, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, business interruption, or the cost of substitute services, even if it was warned that such damage was possible.

To the fullest extent the law allows, our total liability arising out of or relating to these terms or the service, whatever the cause of action, is limited to the greater of the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, for death or personal injury caused by negligence, or any liability a consumer protection law makes unexcludable.

12. Indemnity

You will defend and indemnify us against third-party claims, and the reasonable legal costs of those claims, arising from content you publish through Spanli, from your breach of these terms or the Acceptable Use Policy, or from your infringement of someone else’s rights. We will tell you promptly about any such claim and will not settle it without your agreement.

13. Copyright and other rights complaints

If you believe material hosted on a site built with Spanli infringes your copyright or trademark, write to abuse@spanli.com. Identify the work you say is infringed, give the exact address of the material you want removed, give your contact details, and state that you believe in good faith that the use is not authorised and that the information in your notice is accurate. We will review the notice and may remove the material or suspend the site.

If your material was removed and you believe that was a mistake, write to the same address and tell us why. We may terminate the accounts of people who repeatedly infringe.

14. Export controls and sanctions

You may not use Spanli if you are subject to United States sanctions or are located in a country or region under a comprehensive United States embargo, and you may not use it for any purpose prohibited by export control law.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of them.

If you are a consumer resident in the European Economic Area, the United Kingdom or another jurisdiction whose law gives you the right to bring proceedings where you live and to the protection of your local mandatory consumer law, that right is unaffected by this section.

Before starting formal proceedings, please write to support@spanli.com. Most disputes are resolved faster that way.

16. Changes to these terms

We may update these terms. When we do, we change the date at the top of this page. If a change materially affects your rights or obligations, we will tell you by email or in the product at least thirty days before it takes effect, unless the change is required sooner by law. Using Spanli after a change takes effect means you accept the updated terms. If you do not accept them, stop using the service and cancel your subscription.

17. General

These terms, together with the policies they incorporate, are the whole agreement between us about the service and replace any earlier understanding. You may not assign them without our written consent; we may assign them to an affiliate or in connection with a merger or sale of our business. If a provision is found unenforceable, the rest stays in force. Not enforcing a provision is not a waiver of it. Nothing here creates a partnership, agency or employment relationship.
